Welcome to Terapeas (the “Platform”), an online mental health and counseling service offering therapy through video calls, voice calls, chat sessions, group therapy, educational classes, and related services.
By accessing or using the Platform, you agree to be legally bound by these Terms and Conditions (“Terms”). If you do not agree, you must not access or use the Platform.
These Terms apply to all users, therapists, affiliates, agents, and visitors accessing the Platform in any jurisdiction.
Terapeas provides access to licensed therapists for:
Video therapy sessions
Voice therapy sessions
Chat-based therapy sessions
Scheduled appointments
Group therapy sessions
Educational classes
Public Q&A / Tera Space participation (optional anonymity)
Terapeas reserves the right to modify, suspend, or discontinue any service at its sole discretion.
Therapists providing services through the Platform are independent contractors and not employees, agents, or representatives of Terapeas.
Therapists are responsible for maintaining valid licenses or credentials in their respective jurisdictions.
The Platform is not intended for crisis or emergency situations.
If you are in immediate danger or experiencing a medical emergency, contact local emergency services immediately.
For example, in Malaysia:

By making a purchase, you authorize Terapeas (and its third-party payment processors) to charge your selected payment method.
Terapeas may offer subscription-based services.
By purchasing a subscription:
You agree to the pricing and billing cycle displayed at the time of purchase.
You authorize recurring charges where applicable.
Except where required by applicable law, all subscription payments are final and non-refundable, whether used partially or fully.
The Platform may operate on a prepaid credit, token, or balance system.
Credits or tokens purchased may be used to access services on the Platform.
Purchased tokens and credits are non-refundable.
Tokens and credits are non-transferable.
Tokens and credits cannot be exchanged for cash or withdrawn, but may be used to purchase therapy sessions or services offered on the Platform.
Tokens and credits have no cash value outside the Platform, and are used at a rate set with the currency displayed on the Platform.
The exchange rate of tokens or credits to session pricing may be updated by Terapeas at any time without prior notice.
Tokens or credits purchased before a rate change will retain the rate in effect at the time of purchase.
4.4 Gift Cards, Promotional Credits, and Free Allocations
Any subscription, credit, token, or balance obtained through:
Gift cards
Referral rewards
Promotional campaigns
Complimentary or bonus allocations
Affiliate incentives
Any non-direct purchase method
Are:
Non-refundable
Non-transferable
Not redeemable for cash
Not convertible into monetary compensation
Subject to expiration or withdrawal at Terapeas’ discretion
Cancellation and rescheduling policies are predefined in Terapeas app.
Therapists may select from the available policy options provided by the Platform, but may not create or modify custom cancellation terms outside of those predefined options.
The selected policy applicable to a session will be clearly displayed before booking confirmation.
Failure to cancel or reschedule within the permitted timeframe under the selected policy may result in forfeiture of session fees, tokens, credits, or subscription benefits.
Terapeas reserves the right to standardize, modify, or override cancellation policies where necessary.
Terapeas may operate a referral or affiliate program.
Users may participate in the affiliate or referral program.
Commissions may be earned when referred users complete transactions on the Platform.
Commissions are earned only when a referred user successfully completes a valid paid transaction on the Platform.
No commission is earned solely for referring, registering, or creating an account.
Commission percentages, eligibility criteria, and payout structures are determined solely by Terapeas.
Terapeas may modify commission rates, structures, or program rules at any time without prior notice.
Terapeas reserves the right to:
Investigate affiliate activity.
Suspend or terminate participation in the affiliate program at its sole discretion.
Withhold commission payments during investigation.
Forfeit unpaid or pending commissions in cases of suspected fraud, abuse, manipulation, self-referrals, artificial transactions, chargebacks, policy violations, or other misconduct.
Any attempt to manipulate transactions, create fake accounts, or exploit the referral system may result in immediate termination and forfeiture of earnings.
Commission payments are not guaranteed and remain subject to compliance verification.
To protect the safety and integrity of the Platform, Terapeas reserves the right, at its sole discretion, to:
Temporarily hold payments or credits
Forfeit payments or credits
Issue refunds to clients
Reverse transactions
In circumstances including but not limited to:
Reported harassment or abusive conduct
Violations of Platform policies
Fraudulent activity
Chargebacks or payment disputes
Legal investigations
Court orders or subpoenas
Regulatory or law enforcement requirements
Any situation posing risk to users, therapists, or the Platform
Terapeas may take such action without prior notice where reasonably necessary for safety, compliance, or legal protection.
You agree not to:
Harass, threaten, or abuse therapists or other users
Post unlawful, harmful, or misleading content
Attempt to disrupt the Platform
Engage in fraudulent activity
Circumvent payment systems
Violation of these Terms may result in suspension, termination, forfeiture of credits, or legal action.
Personal data is processed in accordance with the Terapeas Privacy Policy.
Therapy communications are confidential, subject to legal and regulatory obligations.
Privacy, Confidentiality, Promotional Content and Communications
For this section, “Terapeas”, “we”, “us” and “our” refer to TERAPEAS SDN. BHD.
9.1 Personal Data and Confidentiality
Personal data is processed in accordance with the Terapeas Privacy Policy.
Therapy communications are confidential, subject to applicable legal and regulatory obligations.
We will not publish photographs, videos, audio recordings or confidential information from group therapy or any private therapy session. Private messages, client information and clinical records are excluded from promotional use. Any disclosure required by law is handled separately and does not authorise promotional publication.
9.2 Consent to Expert Promotion
By accepting this consent during expert registration, you authorise TERAPEAS SDN. BHD. to use your name, professional designation, public expert profile, image, voice and contributions from content you publicly upload to the Terapeas app, including session advertisements and Teraspace posts, and photographs or recordings made at Terapeas public and expert events where promotional recording has been disclosed.
These materials may be used to promote Terapeas, its experts, services, events and activities online and offline, including through company-owned social media accounts operating under names other than Terapeas. Separate approval will not be requested for each use within this scope.
This permission excludes group therapy, private therapy sessions, private messages, client information and clinical records. Materials must not be edited in a way that misrepresents you or your professional services.
9.3 Announcements, Notifications and Marketing Communications
We may use your registered email address and telephone number to send account and service notifications, expert announcements and operational updates relating to Terapeas.
We may also contact you by email, SMS, WhatsApp or telephone about Terapeas-related events, workshops, features, services and promotional activities.
To the fullest extent permitted by law, disputes arising from use of the Platform shall be resolved through binding arbitration rather than litigation, unless otherwise prohibited by applicable law. This arbitration clause survives termination of your account.
These Terms shall be governed by and interpreted in accordance with the laws of Malaysia.
12.1 Responsibility of Therapists, Experts and Users
Each therapist, expert and user is responsible for their own conduct, statements, content, acts and omissions in connection with the Platform.
Therapists and experts are responsible for their professional judgments, assessments, advice, treatment, services and compliance with applicable laws, professional standards, licensing requirements and confidentiality obligations.
All parties must refrain from unlawful conduct, fraud, harassment, abuse, misrepresentation, unauthorised disclosure of personal information and infringement of another person’s rights.
Terapeas shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from use of the Platform. Terapeas do not guarantee specific therapeutic outcomes. Users assume responsibility for decisions made based on therapy sessions.
12.2 Responsibility of Terapeas as Platform Provider
Users, therapists and experts acknowledge that Terapeas facilitates access to independently provided professional services. Each person remains responsible for their own conduct and professional or legal obligations.
To the extent permitted by applicable law, Terapeas shall not be liable for loss or damage caused solely by the unlawful conduct, negligence, malpractice, misrepresentation or breach of obligations of a user, therapist or expert, where Terapeas has not caused or contributed to that loss and has no independent legal responsibility for it.
The fact that a person is registered on, introduced through or paid through the Platform does not, by itself, make Terapeas responsible for that person’s conduct.
12.3 Indemnity for Claims Arising from Misconduct
To the extent permitted by applicable law, each therapist, expert and user agrees to indemnify TERAPEAS SDN. BHD. against third-party claims, damages, liabilities and reasonable legal costs to the extent caused by that person’s:
(a) unlawful, fraudulent or intentionally wrongful conduct;
(b) negligent acts or omissions;
(c) material breach of these Terms; or
(d) infringement of another person’s privacy, confidentiality, intellectual property or other legal rights.
For therapists and experts, this includes claims arising from their professional negligence, malpractice or breach of professional obligations.
This indemnity does not apply to the extent that a claim or loss was caused by Terapeas’s own negligence, wrongdoing or breach of its obligations. It does not require a person to indemnify Terapeas merely because they make a good-faith complaint or exercise a legal right.
12.4 Handling of Claims
Terapeas will provide reasonably prompt notice of any claim for which it seeks indemnification and allow the responsible person a reasonable opportunity to participate in its defence. The parties will cooperate reasonably, subject to confidentiality and applicable law, and take reasonable steps to minimise losses.
Neither party may agree to a settlement that imposes liability, an admission or a non-monetary obligation on the other without that party’s written consent, which must not be unreasonably withheld.
These provisions survive account closure or termination in respect of conduct occurring before termination.
Terapeas reserves the right to update these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.
These Terms constitute the entire agreement between you and Terapeas regarding use of the Platform and supersede all prior agreements or representations.
